Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you and Slingshot Apps Ltd. ("Company," "we," "us," or "our") concerning your access to and use of the Wake platform and related services ("Service").

By accessing or using our Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service.

Acceptance of Terms

You accept these Terms by: (a) accessing or using our Service; (b) creating an account; or (c) otherwise indicating your acceptance. These Terms apply to all users of the Service, including brands, creators, and ambassadors.

Description of Service

Wake is an ambassador marketing platform that connects brands with creators and customers to facilitate authentic word-of-mouth marketing campaigns. Our Service includes:

• Ambassador discovery and recruitment tools
• Campaign management and tracking
• Performance analytics and reporting
• Payment processing and commission management
• Communication and collaboration tools

User Accounts

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use
• Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Post false, misleading, or deceptive content
• Engage in spam, fraud, or manipulation
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for any illegal or unauthorized purpose
• Harass, abuse, or harm other users

User Content

You retain ownership of content you submit to our Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with our Service.

You represent and warrant that your User Content:

• Is accurate and not misleading
• Does not infringe on third-party rights
• Complies with applicable laws and regulations
• Does not contain harmful or malicious content

Payments and Billing

Subscription fees are billed in advance on a monthly or annual basis. You agree to pay all charges associated with your account. We reserve the right to change our pricing with 30 days' notice.

Commission payments to ambassadors are processed according to the terms of each campaign. Payment schedules and minimum thresholds are specified in campaign details.

Refunds are provided according to our Refund Policy, available separately.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Slingshot Apps Ltd. and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Privacy Policy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you also agree to the collection and use of information in accordance with our Privacy Policy.

Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

Limitation of Liability

To the maximum extent permitted by law, Slingshot Apps Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

Our total liability to you for any damages shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Slingshot Apps Ltd. from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately.

Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which Slingshot Apps Ltd. is incorporated, without regard to conflict of law provisions.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before new terms take effect. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

Entire Agreement

These Terms constitute the entire agreement between you and us regarding use of the Service and supersede all prior agreements and understandings.
